Terms of Service
1. Acceptance of Terms
By downloading, installing, accessing or using HotkeyBridge ("the Software", "the Service"), you ("the User", "you") unconditionally accept and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Risk Disclaimer, all of which are incorporated herein by reference. These Terms constitute a legally binding agreement between you and HotkeyBridge ("we", "us", "our"). If you are using the Software on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
2. Nature of the Software — Execution Tool Only
2.1 HotkeyBridge is strictly a keyboard shortcut execution tool for MetaTrader 5. It executes trades based solely on user-initiated hotkey commands.
2.2 HotkeyBridge does NOT:
- Provide financial advice of any kind
- Generate trading signals or recommendations
- Manage your money or act as a portfolio manager
- Guarantee any trading outcome or profit
- Operate as a regulated financial service
2.3 You acknowledge that all trading decisions are made solely and exclusively by you. HotkeyBridge merely executes the commands you initiate. You retain full and sole responsibility for every trade placed through the Software.
3. Risk Disclaimer and Assumption of Risk
3.1 Trading foreign exchange, indices, commodities, contracts for difference (CFDs), and other financial instruments involves a HIGH LEVEL OF RISK and is not suitable for all investors. You may lose your entire invested capital.
3.2 By using HotkeyBridge you expressly acknowledge and agree that:
- You fully understand the risks involved in trading financial instruments
- You are trading with funds you can afford to lose entirely
- You have the necessary knowledge and experience to trade independently
- You have sought independent financial advice if required
- You accept full and sole responsibility for all trading outcomes
- No representation has been made to you that HotkeyBridge will result in profits or prevent losses
- Past performance of any trading strategy is not indicative of future results
- Technical failures, internet outages, slippage, and execution delays are inherent risks of electronic trading that HotkeyBridge cannot control or be held responsible for
3.3 You expressly assume all risk arising from your use of the Software including but not limited to trading losses, missed trades, erroneous executions, technical failures, and any other direct or indirect consequences of using the Software.
4. Limitation of Liability
4.1 To the maximum extent permitted by applicable law, HotkeyBridge, its owners, directors, employees, agents, partners and licensors shall not be liable for any:
- Trading losses of any amount
- Loss of profit, revenue, or anticipated savings
- Loss of data or corruption of data
- Loss of business or business opportunity
- Indirect, incidental, special, consequential, or punitive damages
- Damages arising from technical failure, internet outage, or execution errors
- Damages arising from your broker's systems, MetaTrader 5, or any third party platform
- Damages arising from your own trading decisions, strategies, or actions
- Damages arising from misuse, misconfiguration, or incorrect use of the Software
4.2 This limitation applies whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, even if HotkeyBridge has been advised of the possibility of such damages.
4.3 In jurisdictions where limitation of liability is not permitted to the fullest extent, our liability shall be limited to the amount you paid for the Software in the preceding 3 months, which shall be your sole and exclusive remedy.
5. Indemnification
You agree to indemnify, defend, and hold harmless HotkeyBridge and its owners, directors, employees, agents and partners from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use or misuse of the Software
- Your trading activities and decisions
- Your breach of these Terms
- Your violation of any applicable law or regulation
- Any claim by a third party arising from your use of the Software
6. No Warranties
6.1 The Software is provided "as is" and "as available" without warranty of any kind, express or implied.
6.2 We expressly disclaim all warranties including but not limited to:
- Fitness for a particular purpose
- Merchantability
- Non-infringement
- Uninterrupted or error-free operation
- Accuracy or reliability of execution
- Compatibility with your broker or trading platform
6.3 We do not warrant that the Software will be available at all times, free from errors, or that defects will be corrected. Scheduled and unscheduled downtime may occur.
7. Subscription and Payments
7.1 HotkeyBridge is available on a subscription basis billed monthly or annually as selected at checkout.
7.2 A 7-day free trial is available for new subscribers. After the trial period your chosen subscription will automatically begin and you will be charged.
7.3 Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
7.4 All payments are non-refundable except where required by applicable consumer law. We may offer refunds at our sole discretion on a case by case basis.
7.5 We reserve the right to change subscription pricing at any time with reasonable notice.
7.6 Failure to pay will result in immediate suspension of access.
8. License and Restrictions
8.1 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use HotkeyBridge on a single device for your personal use only.
8.2 You may NOT:
- Copy, modify, distribute, sell or transfer the Software
- Reverse engineer, decompile, or disassemble the Software
- Remove or alter any proprietary notices or labels
- Use the Software for any unlawful purpose
- Share your account or license key with any third party
- Attempt to circumvent any license validation or security measures
- Use the Software on more than one device without authorisation
8.3 Violation of these restrictions will result in immediate termination of your license without refund and may result in legal action.
9. Hardware Binding
The Software is licensed to a single hardware device identified by your hardware ID. If you replace or significantly upgrade your PC, contact support@hotkeybridge.com to request a hardware reset. We reserve the right to limit hardware resets at our discretion.
10. Intellectual Property
All intellectual property rights in the Software, including but not limited to source code, design, algorithms, and branding, are and shall remain the exclusive property of HotkeyBridge. Nothing in these Terms grants you any rights to our intellectual property except the limited license expressly stated herein.
11. Termination
11.1 We may suspend or terminate your access at any time, with or without notice, for any reason including but not limited to breach of these Terms, non-payment, or fraudulent activity.
11.2 Upon termination, your license to use the Software immediately ceases and you must uninstall the Software from your device.
11.3 Termination does not entitle you to any refund.
12. Third Party Services
HotkeyBridge integrates with third party services including Firebase (Google), Stripe, and MetaTrader 5. We are not responsible for the availability, accuracy, or actions of any third party service. Your use of third party services is subject to their own terms and conditions.
13. Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control including but not limited to internet outages, server failures, acts of God, war, pandemic, or government action.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and Risk Disclaimer, constitute the entire agreement between you and HotkeyBridge and supersede all prior agreements, representations, and understandings.
16. Amendments
We reserve the right to modify these Terms at any time. Continued use of the Software after changes constitutes acceptance of the new Terms. We will notify users of material changes via email where possible.
17. Governing Law and Jurisdiction
These Terms are governed exclusively by the laws of England and Wales. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. You waive any objection to proceedings in these courts.
18. Waiver of Class Action
To the extent permitted by law, you waive your right to participate in any class action lawsuit or class-wide arbitration against HotkeyBridge.
